Danka Michael is a paralegal in the firm's San Diego office. Her paralegal scope focuses on general corporate relevant matters, Federal and State securities filings, including SEC Forms 3, 4 and 5, Form ID and Form D filings, Blue Sky filings, Uniform Commercial Code filings, and transactional related matters with an emphasis on preparation of business, commercial real estate, M&A and corporate transactional closing documents.
In particular, Danka's previous corporate experience has been utilized in diverse environments, including large publicly traded companies, non-profit healthcare organizations, a private equity firm, and large law firms with a primary focus on entity formations, dissolutions, qualifications, withdrawals; licensing (contractor, business, dealer and liquor) and permits in various jurisdictions; preparation of quarterly and annual board and shareholders meetings, entity annual reports, statements of information filings, corporate resolutions and consents, corporate minutes, bylaws, operating and partnership agreements, various corporate certificates and stock ledgers; and helping companies with research, development and implementation of internal policies and procedures relevant to record retention, contract management, outside counsel management and other internal in-house processes.
From an international perspective, while working for a global manufacturer of cryogenic equipment, a publicly-traded company, for nearly six years, Danka helped with formation, maintenance and compliance of its foreign entities located in Luxembourg, France, Germany, Australia, United Kingdom, Czech Republic, Japan, China and Hong Kong.
Danka received her Bachelor of Science in Paralegal Education, ABA approved, from David N. Myers College, Cleveland, Ohio, in 2000.
