Susan E. Graham is a partner in the Orange County office and a member of the Real Estate Finance Practice Group, Retail and Mixed-Use Practice Group and the Industrial industry group. Susan’s practice focuses on real estate law with emphasis in finance.

With extensive experience in all aspects of complex commercial finance transactions, Susan represents lenders and borrowers in connection with structuring, negotiating and documenting all types of real estate secured loan transactions including loan originations, modifications and workouts.

Susan represents borrowers in commercial real estate financing transactions from the loan application stage through closing. Her borrower representation includes construction, bridge, permanent and CMBS financings. In addition, she represents borrower clients in real estate workouts and restructuring of loans. She also has significant experience representing borrowers in connection with the defeasance of securitized commercial loans.

In representing clients across the country, Susan negotiates and documents loans secured by commercial properties, including retail centers, office buildings, multifamily properties, mobile home parks, self-storage centers, hotels, warehouse and industrial properties.

In addition to her borrower work, Susan represents lenders in connection with loan originator as well as enforcement of remedies, including loan modifications, forbearance agreements, judicial and non-judicial foreclosures, deeds in lieu of foreclosure, and other resolution of distressed debt. She also advises and assists lenders in restructuring distressed loans and loan sale transactions.

In loan workout situations, Susan has extensive experience negotiating and documenting workouts, and has prepared pre-negotiation agreements, forbearance agreements and extension and modification agreements, related to such workouts.

Susan is a graduate of University of California, Los Angeles, with a B.A. in economics. She received her J.D. from Loyola Law School.
