Due Diligence

Understanding the complex statutory and regulatory requirements that apply to specific properties can significantly affect all aspects of real estate transactions. Allen Matkins attorneys have considerable experience analyzing existing planning and zoning requirements as well as the entitlement history and development potential of multiple properties on behalf of various parties, including buyers, lenders, and ground lessees throughout California and beyond. Such in depth due diligence review has enabled clients to evaluate the risks and costs associated with acquiring and developing properties before undertaking a significant allocation of resources in connection with a specific real estate transaction.

EXPERIENCE

  • Developer. Conducted due diligence review and drafted assignment and assumption agreements and operating memoranda ensuring transfer of obligations from seller to buyer for the development of 1,250 new homes in the City of Azusa.
  • Developer. Represented client in land use and environmental due diligence and acquisition of entitlements for five large residential projects in the Inland Empire and the Antelope Valley, totaling over 2,000 lots.
  • Developer. Represented potential joint venture partner to developer of a large, master-planned, mixed-use community in pre-acquisition due diligence review, with focus on CEQA compliance, project entitlement, and wetlands and endangered species issues.
  • Developer. Represented client in land use and zoning due diligence review in connection with client's purchase of over 1,400 acres in San Jose’s North Coyote Valley as well as several projects in downtown San Jose.\
  • Property Owner. Represented client in connection with land use due diligence related to the purchase of a historic hotel property in Berkeley Hills, California.
  • Developer. Represented client in connection with due diligence and entitlements for the development of approximately 2,100 residential units and 7.3 million square feet of commercial property to be built on the Tustin Marine Corps Air Station.
  • Developer. Represented developer in due diligence review and conducted negotiations with seller for large residential project in downtown San Francisco.
  • Property Owner. Conducted land use and zoning due diligence review in connection with client's acquisition of properties in Seattle, Washington; San Francisco, California; and Los Angeles, California.
  • Developer. Assisted with entitlement due diligence for equity investment in privately-held multi-family developer.
  • Developer. Assisted with entitlement and environmental permitting due diligence and obtaining entitlements for client assets in the Inland Empire.
  • Property Owner. Represented client in land use and zoning due diligence review in connection with client's acquisition of properties in San Francisco.
  • REIT. Represented REIT client specializing in the multifamily sector in land use and zoning due diligence review in connection with California acquisitions.
