We assist clients with private placements of equity securities for companies in a variety of industries. We represent both issuers and investors in private financing transactions.

Although we often assist clients with traditional venture capital financing, we also have significant experience with alternatives to traditional venture financing. We assist clients in structuring managed private placements, completing private investments in public equity ("PIPEs"), and negotiating early stage corporate investments. We also provide counsel regarding bridge loan and longer-term debt financings.
